Welcome to TMN Technologies LLP (“TMN Technologies LLP”, “we”, “our”, “us”).
We are a registered Limited Liability Partnership in India, providing services in digital marketing, web development, e-commerce solutions, and IT consultancy.

By accessing or using our website, software, or services (collectively, the “Services”), you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use our Services.

1. Definitions

  • “Client” / “User”: Any individual or business using our Services.
  • “Services”: All solutions provided by TMN Technologies LLP, including but not limited to software development, web design, digital marketing, IT consultancy, and e-commerce development.
  • “Content”: All information, data, materials, designs, code, campaigns, or media provided or published through our Services.

2. Eligibility

By using our Services, you confirm that:

  1. You are at least 18 years old and legally capable of entering into contracts.
  2. You are using our Services for lawful purposes.
  3. You have not been previously suspended from using our Services.

3. Use of Services

  • License: We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in accordance with these Terms.
  • Restrictions: You agree not to:
    • Copy, modify, or distribute our Services without permission.
    • Use our Services for unlawful or fraudulent purposes.
    • Interfere with our systems, security, or networks.

4. Client Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials.
  • Content Ownership: You are solely responsible for all content you provide (text, images, code, data, etc.) and for ensuring it does not infringe any third-party rights or laws.

5. Intellectual Property

  • Our Rights: TMN Technologies LLP owns all intellectual property in our software, tools, and methodologies.
  • Client Rights: Upon full payment, you own the project deliverables (website, campaigns, reports, etc.) created specifically for you. TMN Technologies LLP may showcase non-confidential work in its portfolio.
  • Trademarks: TMN Technologies LLP’s name, logo, and branding may not be used without written consent.

6. Fees & Payment

  • Fees: Services may be subject to fees as agreed in the service contract or proposal.
  • Payment Terms: Payments must be made as per the agreed schedule.
  • Taxes: Fees are exclusive of applicable taxes, which shall be borne by the Client.
  • Refunds: Unless expressly agreed in writing, all fees are non-refundable. Approved refunds will be processed within 30 business days.
  • Late Payments: TMN Technologies LLP may suspend or terminate Services if payments are delayed.

7. Service-Specific Terms

(a) Software & Web Development

  • Ownership of deliverables transfers to the Client only after full payment.
  • Support, updates, or maintenance will be provided only if agreed in a separate contract.

(b) Digital Marketing

  • TMN Technologies LLP will manage campaigns as per agreed strategies but does not guarantee specific results (e.g., rankings, leads, conversions).
  • Ad spend on platforms (Google, Meta, etc.) is billed separately and payable directly by the Client.

(c) IT Consultancy

  • Recommendations are based on industry best practices but outcomes may vary. TMN Technologies LLP shall not be liable for business losses resulting from implementation.

(d) E-Commerce Development

  • TMN Technologies LLP will design and develop e-commerce platforms tailored to the Client’s requirements.
  • Responsibility for compliance with laws relating to online sales, data protection, and taxation rests with the Client.
  • Integration with third-party services (payment gateways, shipping providers, etc.) is subject to their respective terms, and TMN Technologies LLP is not responsible for their performance.

8. Termination

  • By Client: You may terminate services with prior written notice, subject to agreed cancellation terms.
  • By TMN Technologies LLP: We may suspend or terminate Services at any time for breach of these Terms or non-payment.

9. Disclaimer of Warranties

Our Services are provided “as is” and “as available”, without any warranties, express or implied, including fitness for a particular purpose, non-infringement, or uninterrupted availability.

10. Limitation of Liability

To the fullest extent permitted by law:

  • TMN Technologies LLP shall not be liable for indirect, incidental, or consequential damages.
  • TMN Technologies LLP’s total liability shall not exceed the amount paid by the Client for Services in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless TMN Technologies LLP, its directors, employees, and partners from any claims, damages, or expenses arising from your use of our Services, your content, or breach of these Terms.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
  • Parties may first attempt to resolve disputes through good-faith discussions or arbitration under the Arbitration and Conciliation Act, 1996.

13. Changes to Terms

We reserve the right to update these Terms at any time. Updated Terms will be posted on our website. Continued use of our Services after changes means you accept the revised Terms.
